Voltas
Board decides to merge Voltas International Limited
with Voltas Limited
April 11, 2001
The
Voltas Board, at the meeting held on 10th
April 2001, has approved the proposal for the
merger of Voltas International Limited (VIL),
- a wholly owned subsidiary of Voltas Limited
with Voltas Limited, effective 1st
April, 2001. The merger is subject to required
statutory formalities and sanction of the High
Court.
VIL,
operating as an international arm of Voltas Limited
for the past two decades, has established itself,
in the international market, as a leading electro-mechanical
turnkey project contractor. The electro-mechanical
division of VIL has been accredited with ISO 9001
certificate. VILs turnover in 2000-01 is
Rs. 1400 million and has a net worth of Rs. 200
million.
Requirements
of Indian infrastructure projects mass
transit systems (Metro Railway), power plants,
large water supply projects and airports
become more complex and to international standards
in quality and scope, Voltas, having at its command,
the vast skill and experience gained by VIL from
a spectrum of multi national electro-mechanical
projects, is uniquely placed to deliver this.
The
merger will also have the benefit of strengthening
Voltas position in the field of engineering,
procurements and construction of electro-mechanical
projects in India.
VIL
has an impressive record of having executed multi
million dollar electro-mechanical projects in
many diverse geographical locations abroad, such
as Nepal, Malaysia, Hong Kong, Tanzania, Mauritius,
UAE, Bahrain, Oman, Saudi Arabia, Russia, Uzbekistan,
Kazakhstan, Tajikistan, Belarus.
Some
of the prestigious and well known electro-mechanical
overseas projects executed by VIL, are:
- The
New Hong Kong International Airport at Chek
Lap Kok
- Bahrain
International Airport, Bahrain
- Central
Emergency Hospital, Abu Dhabi
- Abu
Dhabi Trade Centre, UAE
- Etisalat
Telecommunication & Administration building,
Sharjah
- New
Villa for His Highness at Bateen Palace, Abu
Dhabi
Recently,
VIL has also started participating actively in
large electro-mechanical tenders within India
and the scope for such operations is seen to be
bright.
VIL
has associated with some of the most renowned
international consultants such as Alexander Gibbs,
Bechtel Corporation, Bishimetal Exploration, BRGM
France, Buckle & Partners, Hospital Design
Partnership, International Associates, Kennedy
and Donkin, MC Fadden & Associates, Ralph
Parson International, Scott Wilson Kirkpatrick,
Sotechni Italy, Tata Consulting Engineers, W.S.
Atkins, White & Young Emirates and Mott Consortium,
to name a few.
VIL
has set up in the Middle East, several Joint Ventures,
wherein it offers its technical expertise in the
management and execution of projects.
VIL
is also the proud recipient of two prestigious
export awards, from the Overseas Construction
Council of India under the aegis of the Ministry
of Commerce, Government of India, for three consecutive
years of 1997-98, 1998-99, 1999-2000. The awards
were bagged for the maximum turnover in overseas
construction projects and maximum foreign exchange
earned and repatriated to India from overseas
construction contracts. Considering that VILs
focus is only on electrical and mechanical contracts
in the overseas arena, and the Company was in
stiff competition from other prime civil construction
companies in India, this is indeed a creditable
achievement.
NOTE:
This is to inform you that the report in the Economic
Times today about the above release is incorrect.
The reporter has carelessly stated that Voltas
Limited has merged into Voltas International rather
than the other way round.
